ACCEPTANCE OF TERMS

These Terms & Conditions (“Agreement”) govern participation in media features curated by Wellness Eternal, LLC, doing business as Optimize WE (“WE”). By submitting payment, you agree to the following terms:

1. INVITATION ONLY

All media features are available by invitation only. WE reserves the right to decline or revoke participation at its sole discretion.

2. MEDIA OUTLET SELECTION

Media outlets are selected and managed by WE and may include top-tier publications such as Forbes, Elle, Rolling Stone, Entrepreneur, Global Woman Magazine, among others. Final placement is subject to change based on editorial discretion. Client participation applies to the outlet selected by WE unless otherwise transferred per Section 8.

3. CONFIDENTIALITY & NON-DISCLOSURE

All pricing, placement, editorial terms, and promotional offers are strictly confidential. You agree not to disclose, share, or reproduce any part of this arrangement, including discounts, packages, or editorial information.

4. NON-CIRCUMVENTION

You agree not to contact, negotiate with, or solicit any of WE’s media contacts, editors, writers, producers, or affiliates for any editorial opportunity or feature—whether directly or indirectly—for a period of two (2) years. This applies to individuals and companies introduced to you through WE’s media feature services.

5. NON-COMPETITION WITHIN ARTICLES

WE features multiple innovators, leaders, and brands in each article to showcase a broad perspective on a given theme or sector. You acknowledge and accept that:

Your business or product may be featured alongside others offering similar or competing solutions.This is intentional and designed to highlight the diversity and innovation across sectors.Exclusive category placement is not guaranteed, but may be offered at WE’s discretion or purchased as a stand-alone feature upon request.If you desire an exclusive feature or category lock, this must be pre-arranged and contracted separately.You waive any claim, objection, or entitlement related to the inclusion of other businesses—competing or otherwise—within a shared article unless such exclusivity has been explicitly purchased or confirmed in writing.

This clause is binding and applies to all Optimize WE editorial content unless superseded by a separate, written exclusivity agreement.

6. NO GUARANTEES

WE does not guarantee:

Editorial approval or timing

Specific publishing dates

Story placement or headline inclusion

SEO rankings or backlinking

Organic syndication or media pickup beyond any included press release

All final editorial decisions are at the discretion of the media outlet.

7. PRESS RELEASE SYNDICATION (IF INCLUDED)

When applicable, WE guarantees press release syndication to over 350 global news outlets through third-party distribution. WE does not guarantee organic reposting, earned media coverage, or search engine performance. However, every effort will be made for inclusion in Business Insider and 300+ others, AND LLM (Ai Chat) updating/training.

8. REFUND & TRANSFER POLICY

All payments are final and non-refundable. Transfers are allowed to another media opportunity of equal or lesser value with at least 14 days' written notice before the scheduled submission deadline by either party.

9. CUSTOMIZED OFFERS

All packages, discounts, and bonuses are uniquely tailored and non-transferable. They may not be published, forwarded, or shared with third parties. Disclosure may result in removal from current or future opportunities.

10. INDEMNIFICATION

You agree to indemnify and hold harmless WE, its employees, contractors, affiliates, and media partners against all claims, losses, or damages arising from your participation, including any content you provide or actions you take in violation of this Agreement.

11. FORCE MAJEURE

Neither party shall be held liable for delays or failure to perform due to unforeseen events beyond reasonable control, including but not limited to natural disasters, public health emergencies, internet outages, editorial changes, strikes, or government actions.

12. GOVERNING LAW

This Agreement is governed by the laws of the State of New York, without regard to conflicts of law provisions. Any disputes shall be resolved in New York courts.

13. ENTIRE AGREEMENT

These Terms & Conditions represent the entire understanding between you and WE. No other statements, promises, or agreements—oral or written—shall alter or amend these terms unless executed in writing by both parties.

14. ACKNOWLEDGMENT & AGREEMENT TO PARTICIPATE

By submitting payment, you:

Agree to all terms stated aboveAuthorize WE to include your brand, company, or name in the selected media article(s)Understand that all media placements are subject to editorial review and third-party discretionAccept that all participation is final and binding.

15. MODIFICATIONS TO THIS AGREEMENT

We reserve the right, at our sole discretion, to change, modify or otherwise alter these terms and conditions at any time. Such modifications shall become effective immediately upon the posting thereof. You must review this agreement on a regular basis to keep yourself apprised of any changes.
